Important note: these terms contain provisions that limit our liability to you, eliminate your right to a trial by jury, require you to resolve disputes with us on an individual basis and not as a part of any class or representative action, and through final and binding arbitration. Review the "Agreement to Arbitrate section below.
Please read these Terms carefully for important information about your rights and obligations in the Explorewards Visa Credit Card and Explorewards Credit Card Rewards Program ("Program"). By participating in the Program, you agree to these Terms.
In these Terms, "you" and "your" mean the Account holder. "We," "our," and "us" mean Sportsman's Warehouse Holdings, Inc. "Bank" means Comenity Capital Bank or its assignees.
The Program is provided by Sportsman's Warehouse Holdings, Inc. ("Sportsman's Warehouse") is solely responsible for Program operation and may withdraw the Program or change the terms of the Program at any time. The purpose of the Program is to reward customers for certain uses of their Explorewards Visa credit card and Explorewards credit card ("Card"). The Program Terms may be supplemented with additional terms, conditions, and disclosures, including but not limited to applicable terms related to any promotional offers provided to you for use with the Program.

1. General Information
The Program allows you to earn points ("Points") on the dollars you spend as described in Section 3 "Earning Points" below, using your Explorewards Visa and Explorewards Card Account (your "Account"). You can then redeem Points in store or redeem points for
Sportsman's Warehouse credit in the form of eGift Cards valid at Sportsman's Warehouse stores or www.sportsmans.com ("eGift Card") as described in Section 5 "Issuing Rewards and Redemption" below.
These Program Terms are separate and independent from your Explorewards Visa Credit Card and Explorewards Credit Card Account Agreement (your "Account Agreement"), which governs the use of your Account. In the event of any conflict between these Program Terms and your Account Agreement, these Program Terms will control in any matter relating to the Program. By using your Account, you agree to be bound by these Program Terms.
All information collected about you in connection with the Program is subject to our privacy policy, which can be obtained at www.sportsmans.com/privacy-policy. Purchases made on www.sportsmans.com are subject to the Sportsman's Warehouse Terms of Use at www.sportsmans.com/terms-of-use. In the event that the Terms of Use conflict with these Terms, these Terms will control.
2. Eligibility; Withdrawal of Program
When the Bank opens your Credit Card Account, you will be automatically enrolled in this Program and the Sportsman's Warehouse Loyalty Rewards Program as long as you provide a valid email address. If you already have a Sportsman's Warehouse Loyalty Account ("Loyalty Account") when your Credit Card Account is opened, we will link your Loyalty Account with this Program. If you do not provide a valid email address at the time your Credit Card Account is opened, you may later create an account in the Sportsman's Warehouse Loyalty Program and contact 1-800-286-3076 to link your accounts. Your participation in the Sportsman's Warehouse Loyalty Rewards Program is governed by https://www.sportsmans.com/my-account/loyalty. You may cancel your participation in the Program in accordance with Section 13 "Cancelling Program Participation" below. Unless you cancel your participation, you will remain enrolled in the Program as long as your Credit Card Account remains open and in Good Standing and we continue to offer the Program.
3. Earning Points
You will earn Points when you, or an authorized user, make eligible purchases of goods and services for personal, family and household purposes using your Account, minus any returns, refunds or credit adjustments ("Net Eligible Purchases").
Reward earn is rounded to the nearest whole point value using standard rounding. Earning calculations that end in .5 will round up to the next whole point value. For example, earn calculated to 1.5 points rounds to 2 points. All calculations that result in less than .5 will round down. For example, calculated earn of 1.4 points would round to 1 point.
(a) Points for Net Eligible Purchases
Using your Explorewards Visa Credit Card, you will earn:
Sportsman's Warehouse may temporarily prohibit you from Points using Points, receiving or redeeming Points or eGift Cards, or using any features of the Program if: your Account becomes delinquent, Comenity Capital Bank suspects that you or any authorized user has engaged in fraudulent activity related to your Account or the Program or Sportsman's Warehouse suspects that you misused the Program in anyway.
Points awarded for purchases that do not remain Net Eligible Purchases will be deducted from your Points Balance. Returned items may result in credits being applied to your Account, which will reduce or may eliminate accumulated Points and may result in a negative Points balance. If your Points balance goes negative, you must first earn Points to bring your Points balance to zero before earning any Points eligible for redemption. Sportsman's Warehouse and Comenity Capital Bank reserve the right to verify and adjust Points, as applicable at any time.
Points you earn may not be combined with Points earned on any other credit account. Points you earn may not be combined with Points earned by anyone else (other than your Authorized User(s), as described above). Points earned have no cash value and may not be used as payment of any outstanding obligation to the Bank or its affiliates or to Sportsman's Warehouse.
(b) Bonus Points for Special Offers
From time to time, Sportsman's Warehouse may make special offers for you to earn additional Points ("Bonus Points"). Read each offer carefully, as there may be important conditions or limitations, such as blackout periods, Bonus Points limits, or exclusions. You may have to register to qualify for the offer. Sportsman's Warehouse may change or withdraw an offer at any time without notice. Any such change or withdrawal will not affect Bonus Points already earned. Certain offers may only be communicated by email.
Reward Merchant Classification Codes
Merchants who accept Visa are assigned a merchant classification code ("MCC"), which is determined by the merchant or its processor in accordance with Visa procedures based on the products and/or services they primarily sell. Comenity Capital Bank and Sportsman's Warehouse do not control the assignment of these codes and are not responsible for incorrectly coded purchases. Even though a merchant or some of the items it sells may appear to fit within a certain rewards category, the merchant may not have a code in that category. Purchases made with third-party payment accounts, including but not limited to PayPal and Venmo, will not earn additional Points.
Your Net Eligible Purchase must be completed and the transaction charged to your Credit Card Account during the special offer period in order for you to earn the applicable Bonus Points. For mail order, special order, online, and other purchases, please be aware that we may not charge your Credit Card Account until items purchased have shipped. During special offer periods, making a return in the same transaction as your purchase may result in earning fewer Points because Points are calculated off of your Net Eligible Purchase (in this case, your purchase minus return).
(c) Posting of Points Earned; Expiration; Forfeiture
You will receive your full Points balance, including spend from other tender types in your Loyalty Account. You can log into your Loyalty Account at www.sportsmans.com/login. Please note that it often takes 1-2 weeks or more for Points from a Net Eligible Purchase to post to your Points balance. At any time, we may verify and adjust your Points balance based on our records and based on certain purchases not constituting, or no longer constituting, Net Eligible Purchases. Points will remain available in your Points balance until they are redeemed for an eGift Card as described in Section 5 "Issuing Rewards and Redemption", are redeemed in-store towards a net eligible purchase, are forfeited, or expire.
Important note: Points will expire after 12 months of inactivity. Inactivity is defined as any time purchase activity has not occurred on your Loyalty Account. You will also forfeit Points as described below and in Section 4 "Termination and Forfeiture" and Section 13 "Cancelling Program Participation". You will not receive any compensation or new Points for your Points that expire or are forfeited.
4. Termination and Forfeiture
Important note: Subject to any requirements or limitations of applicable law, Sportsman's Warehouse may at any time for any reason change or terminate the Program and these Program Terms without notice.
Sportsman's Warehouse reserves the right to terminate you from the Program. If the Program terminates, Sportsman's Warehouse terminates you from participating in the Program, or you voluntarily cancel enrollment in the Program, all Points will be forfeited.
Points will be forfeited if any of the following occur: your Account is closed; you terminate your participation in the Program; you or any authorized user engages in any fraudulent activity or misuse related to your Account or the Program, or engage in any activity deemed to be abusive or gaming conduct, as determined by Sportsman's Warehouse. Misuse includes, but is not limited to, obtaining or using an Account to maximize Points earned in a manner that is not consistent with typical consumer activity as determined in Sportsman's Warehouse's sole discretion.
5. Issuing Rewards and Redemption
When you earn enough Points, you will be eligible to redeem points in store or for an eGift Card. eGift Cards are redeemable for any dollar amount as an eGift Card for the value of points redeemed. The eGift Card can be used for purchases made at any Sportsman's Warehouse location or www.sportsmans.com. Points can be redeemed in any value greater than 1 point (1 point = $0.01 (one cent). There is no maximum amount of Points that can be redeemed at any time. Once you've redeemed points in store or for an eGift Card, your Points balance will be reduced by the number of Points used towards the in store purchase or to obtain the eGift Card. We will send the eGift Card to the email listed on your Loyalty Account within 1 day of redemption. To change the email associated with your Loyalty Account, please visit www.sportsmans.com/login and log in to your Loyalty Account.
Important Note: eGift Cards do not expire once issued. Once issued, eGift Cards cannot be withdrawn or changed by us, even if we withdraw or modify the Program, except as expressly provided in these Terms.
There is no limit to the number of eGift Cards used on a single purchase.
If you return purchases on which you earned Points, those Points will be deducted from your Points balance. Rewards are issued for reward purposes only. Points and eGift Cards have no cash value. Points and eGift Cards will not be honored retroactively in connection with any prior purchases. Points and eGift Cards may not be used as payment of any outstanding obligations to the Bank or its affiliates. Any additional exclusions or limitations for use of eGift Cards will be provided to you directly on the eGift Card. Items purchased with points or an eGift card that are returned in store will receive a physical gift card in the amount of the refund. Items returned through the Sportsman's Warehouse distribution center will receive an eGift Card in the amount of the refund.
To the extent allowed by applicable law, we may cancel any earned or outstanding eGift Cards if we become insolvent, unable to pay our debts when due, file an action under the U.S. Bankruptcy Code or have such an action filed against us.
6. Other Terms
Points may not be sold, transferred or altered in any way by you. Points you earn may not be combined with Points earned on any other credit account or earned by anyone else (other than your Authorized User). Any attempted transaction of such sort will automatically be void. Anyone engaging in such transactions will be liable for damages to us, including, but not limited to consequential damages, third party damages, transaction costs, attorney's fees and court costs. Points and eGift cards have no cash value and are purely for promotional purposes. Points and eGift cards may not be used as payment of any outstanding obligations to the Bank or its affiliates. Any violation of these provisions will result in termination of your eligibility to participate in the Program and forfeiture of unused Points.
7. Communications and Customer Service
We may send communications regarding the Program by mail, phone, e-mail or other methods permitted under applicable law. As needed, you agree to promptly update your contact information at www.sportsmans.com/login. For Sportsman's Warehouse customer service, call us at 1-800-286-3076.

8. Points Disputes.
If Points you believe were earned have not timely posted to your Points balance, you may dispute your Points balance ("Points Dispute") by 1-800-286-3076 immediately. Sportsman's Warehouse will use reasonable efforts to investigate your Points Dispute if you notify us within 90 days of the posting date. If you do not notify us within that period, you waive your right to make a Points Dispute with respect to that purchase. Sportsman's Warehouse may require you to provide written confirmation of the dispute and the applicable purchase receipt and may decline to investigate further if you do not provide the requested confirmation or a valid receipt. Upon completion of the investigation, we will have no further responsibilities if you later reassert the same Points Dispute. Please note that the dispute rights with respect to your Credit Card Account under the Account Agreement do not apply to these Terms or to your rights and remedies under these Terms, which are solely as set forth in these Terms. Your sole and exclusive remedy, and our maximum liability to you, in the event you prevail in a Points Dispute, is for us to credit the disputed Points to your Points balance.
9. Limited Liability
Unless otherwise required by law or our agreements with you, neither Sportsman's Warehouse nor the Bank, nor any of our or its affiliates, officers, directors, employees, service providers, or agents will be liable to you, or anyone making a claim on your behalf, in connection with (a) any termination of, change in, or suspension of the Program; (b) any claim relating to products purchased using any Points or eGift Cards obtained through the Program; (c) any loss, damage, expense or inconvenience caused by any occurrence outside of our control; or (d) any taxes that you incur as a result of receiving or redeeming Points. Notwithstanding the foregoing, any liability that we or they may have to you in connection with the Program shall be limited to the amount of any Points you have earned in accordance with these Terms.
10. No Warranties
Sportsman's Warehouse, the Bank, and all of each of such company's respective subsidiaries and affiliates make no warranty, express or implied, including but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the Program or any products or services related to such Program.
The Bank does not: (a) endorse eGift Cards or products or services purchased at Sportsman's Warehouse using Points or eGift Cards; (b) make any express or implied warranty regarding eGift Cards or products or services purchased at Sportsman's Warehouse; (c) guarantee the performance of eGift Cards or products or services purchased on Sportsman's Warehouse; or (d) offer, operate or control eGift Cards offered through this Program.
11. Changes. Subject to any requirements or limitations of applicable law, we may at any time for any reason add to, change, limit, or terminate the Program or these Terms. To the extent allowed by applicable law, (a) changes may apply retroactively, and may affect outstanding transactions and Points, and may result in you involuntarily forfeiting Points you have earned, and (b) changes will not affect issued or redeemed eGift Cards except to the extent allowed by applicable law.
12. Taxes
You are responsible for any tax liability that may result from participation in the Program or use of any Points or eGift Cards. Consult your tax advisor concerning such tax consequences.
13. Cancelling Program Participation
You may cancel your participation in the Program at any time by calling us at 1-800-286-3076 or by visiting any Sportsman's Warehouse location or online at www.sportsmans.com/login. If you cancel your participation in the Program, you will no longer earn Points and will forfeit your unused and unexpired Points. Your cancellation will not affect any previously redeemed Rewards.
14. Governing Law; Assignment
The Program and these Terms are governed by federal law and, to the extent state law applies, the laws of the State of Utah. You may not assign your rights or obligations under these Program Terms to any other person or entity. Important Note: You and Sportsman's Warehouse agree that each of us may bring claims arising from or relating to these Terms only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding.
"Claim," as used in these Terms means any claim, dispute or controversy that in any way arises from or relates to these Program Terms.
15. Entire Agreement; Severability; Conflicts; No Waiver
These Program Terms supersede any previous terms and conditions governing the Program.. The Program is not available where and to the extent prohibited by law. If any part of these Program Terms conflict with applicable law, that provision will be deemed severed from these Terms and the remainder of the Terms will remain in effect. Sportsman's Warehouse will not lose our rights under these Terms because Sportsman's Warehouse chooses to delay or do not enforce them. All waivers of any of these Terms by us must be in a writing executed by someone with authority to bind us.
16. Agreement to Arbitrate
Important Note: Any party may elect to arbitrate any claim arising from or relating to these Terms (including disputes about the validity, scope or enforceability of this agreement to arbitration), in which case such claim shall be settled by binding arbitration on an individual basis and not as part of any class or representative action.
Arbitration may be elected by any party with respect to any such Claim, even if that party has already initiated a lawsuit with respect to a different Claim. Sportsman's Warehouse will not demand to arbitrate an individual Claim that you bring against us in small claims court or your state's equivalent court, if any. But if that Claim is transferred, removed or appealed to a different court, Sportsman's Warehouse then has the right to demand arbitration.
The arbitration will be conducted by the American Arbitration Association ("AAA"), JAMS, or any other company selected by mutual agreement of the parties (the "Administrator"), in accordance with the rules of the Administrator. Payment of all filing, administration and arbitrator fees will be governed by the Administrator's rules. If, however, you are able to demonstrate that the costs of arbitration will be cost-prohibitive for you as compared to the costs of litigation, Sportsman's Warehouse will pay as much of the filing, administration and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive for you. The arbitrator will not have the power to award punitive or exemplary damages, the right to which each party hereby waives. The arbitrator's decision must be with written explanation and remain confidential. For purposes of this "Agreement to Arbitrate", these Terms are governed by the Federal Arbitration Act, 9 U.S.C. sec. 1-16 (FAA).
Opt-Out Procedures: You may choose to opt-out of this Agreement to Arbitrate by sending a written notice within 30 days after the date you accept these Terms for the first time. You may send your opt-out notice by mail or hand delivery to 1475 West 9000 South West Jordan, UT 84048 Attn: Customer Service. Your opt-out notice must include your full name and clearly indicate your intent to opt-out of the arbitration provisions.
Prior to initiating any arbitration, the initiating party will give the other party at least 60 days' advanced written notice of its intent to file for arbitration. Sportsman's Warehouse will provide such notice by mail or e-mail using the contact information on file with us and you must provide such notice by mail to us at 1475 West 9000 South West Jordan, UT 84048 Attn: Customer Service.
