IMPORTANT NOTE: THESE CAESARS REWARDS® VISA CREDIT CARD REWARDS PROGRAM TERMS AND CONDITIONS ("TERMS") CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU, ELIMINATE YOUR RIGHT TO A TRIAL BY JURY, REQUIRE YOU TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND NOT AS A PART OF ANY CLASS OR REPRESENTATIVE ACTION, AND THROUGH FINAL AND BINDING ARBITRATION. SEE BELOW.
The Caesars Rewards Visa Credit Card Rewards Program ("CR Visa Rewards Program") allows you to earn Reward Credits and Tier Credits for certain qualifying purchases made with your Caesars Rewards Visa Credit Card ("Credit Card"). Reward Credits and Tier Credits (referred to collectively herein as "Reward/Tier Credits") are issued pursuant to the Caesars Rewards® loyalty program ("Caesars Rewards" or "Caesars Rewards Program"), which is operated by Caesars Enterprise Services, LLC ("Caesars," "we," "our," and "us"). In these Terms, "you" and "your" mean the Credit Card Account holder. "Bank" means Comenity Bank or its assignees.
Please read these Terms very carefully for important information about your rights and obligations relating to the CR Visa Rewards Program. By agreeing to the Credit Card Account Agreement (defined below) and/or by using your Credit Card, you are agreeing to these Terms.
The CR Visa Rewards Program is provided to Caesars Rewards members by Caesars. Caesars is solely responsible for the operation of the CR Visa Rewards Program and may withdraw the CR Visa Rewards Program or change these Terms at any time.
You must be a Caesars Rewards member in order to earn Reward/Tier Credits in connection with the CR Visa Rewards Program. Your participation in the Caesars Rewards Program is governed by the current Caesars Rewards Program Rules and Regulations available at www.caesars.com/myrewards/caesars-rewards-rules-regs ("Caesars Rewards Program Rules"). See the Caesars Rewards Program Rules and www.caesars.com/myrewards for more information on Reward/Tier Credit earning, redemption, and cancellation; Caesars Rewards program benefits; and additional information about the Caesars Rewards Program.
Your Credit Card is issued and serviced by the Bank and not by Caesars, and your use of the Credit Card is subject to a separate Credit Card Account Agreement (defined below) between you and Bank. The Bank is not responsible for the operation of the CR Visa Rewards Program or for the operation of the Caesars Rewards Program.

1.General Information. The CR Visa Rewards Program allows you to earn Reward /Tier Credits and other benefits as described in Section 3 below. You can then redeem these Reward Credits in accordance with the current Caesars Rewards Program Rules. See www.caesars.com/myrewards/earn-and-redeem for latest information on Tier Credit earning and Reward Credit earning/redemption.
These Terms are separate and independent from your Caesars Rewards Credit Card or Caesars Rewards Visa Signature Credit Card Account Agreement (your "Credit Card Account Agreement"), which governs the use of your Credit Card. In the event of any conflict between these Terms and your Credit Card Account Agreement, these Terms will control in any matter relating to the CR Visa Rewards Program or the Caesars Rewards Program. All information collected about you in connection with the CR Visa Rewards Program is subject to our U.S. privacy notice, which can be obtained at www.caesars.com/privacy. All cardholder data collected by the Bank is subject to the Bank's privacy policy, available at www.breadfinancial.com/en/privacy.html.
2. Eligibility;Withdrawal of CR Visa Rewards Program. To be eligible to earn Tier Credits and earn/redeem Reward Credits, you must be a member of the Caesars Rewards Loyalty Program. You must be at least twenty-one (21) years old in order to participate in the Caesars Rewards Program. You will be eligible to apply for the Caesars Rewards Visa if you are at or above the age of majority in your state or territory without participation in the Caesars Rewards Program. You will not be eligible to receive Caesars Rewards benefits unless you are enrolled in the Caesars Rewards Program. Therefore, you will need to sign-up for the Caesars Rewards Program before or at the time of your Caesars Rewards Visa application. If you are not a member of the Program when you apply, you will need to sign-up before you can earn Reward/Tier Credits with your Caesars Rewards Visa. For customers under the age of twenty-one (21) years old: once you become of age to enroll in the Caesars Rewards Program you must sign up for the Caesars Rewards Program to become eligible to receive Caesars Rewards Visa benefits. You will not receive any Caesars Rewards Visa benefits for any spending made prior to enrolling in the Caesars Rewards Program.
You may cancel your participation in the CR Visa Rewards Program at any time in accordance with Section 11. Until you cancel your participation, you will remain enrolled in the CR Visa Rewards Program for so long as (a) your Credit Card Account remains open and in Good Standing and (b) you remain eligible to earn Reward/Tier Credits under the Caesars Rewards Program Rules. "Good Standing" means (1) your Credit Card Account is open to new charges and not over your credit limit, (2) your Credit Card Account is not more than 60 days past due or otherwise in default, (3) your Credit Card is not flagged as lost, stolen, or fraudulent according to the Bank's records, (4) your Credit Card Account is not in a hardship or workout program, and (5) you are not subject to a credit counseling arrangement relating to your Credit Card Account. We may withdraw the CR Visa Rewards Program or deny or revoke your participation in the CR Visa Rewards Program at any time for any reason.
3. CR Visa Rewards Program Benefits and Conditions.
(a) Earning Reward/Tier Credits. In the CR Visa Rewards Program, you will earn Reward/Tier Credits only for Net Eligible Purchases. "Net Eligible Purchases" are purchases of goods and services for personal, family and household purposes using your Credit Card and the Credit Card(s) of your Authorized User(s), if any, minus any returns, refunds or credit adjustments, rounded up to the nearest dollar. The amount of Reward/Tier Credits earned on a purchase will vary depending on the type of purchase. See Section 3(b) below.
No Reward/Tier Credits are earned on, and the term "Net Eligible Purchases" does not include: returns, refunds, credit adjustments, unauthorized or fraudulent charges, charges that violate the terms of your Credit Card Account Agreement, purchases made by or for a business or for a business purpose, balance transfers, interest, fees or other Credit Card Account activity.
We have the right to deduct Reward/Tier Credits from your Reward Credit balance or Tier Score if you received those Reward/Tier Credits for charges that were not or do not remain Net Eligible Purchases. If your Reward Credit balance goes negative as a result of any such deduction, you must first earn enough Reward Credits (either through this CR Visa Rewards Program or otherwise through the Caesars Rewards Program) to bring your Reward Credit balance to zero before earning additional Reward Credits eligible for redemption. Reward/Tier Credits earned have no cash value, may not be redeemed for cash, and may not be used as payment of any outstanding obligation to the Bank, Caesars or any of their respective affiliates.
(b) Reward Credits Earning Rate. For each $1.00 of qualifying Net Eligible Purchases, you will earn the number of Reward Credits ("Earning Rate") set forth below depending on the type of transaction:
*Merchant Classification Codes: Each retailer, business or any other place where you can make a purchase using your Credit Card ("Merchant") is assigned a code that indicates the Merchant's area of business ("Merchant Classification Code"). Merchant Classification Codes are chosen and assigned by a third party, who may change the Merchant Classification Codes requirements from time to time. We do not assign or have any control over the assignment of Merchant Classification Codes.
Earning Rates on Net Eligible Purchases are determined solely by Merchant Classification Code. When you make a purchase at a Merchant, we are provided the Merchant Classification Code for that Merchant, which we use to determine the Earning Rate for your purchase. Only if the Merchant Classification Code matches a category above that has an Earning Rate greater than one (1) Reward Credit per $1.00 of Net Eligible Purchases (e.g., a grocery store) will you receive that higher Earning Rate. Certain Merchants may appear to be operating as a type of business with a higher Earning Rate, such as a grocery store, but may not have the Merchant Classification Code for that type of business. Purchases at such Merchants are not eligible for the higher Earning Rate. Neither Caesars nor Bank controls how a Merchant is categorized.
(c) Bonus Reward Credits and Tier Credits for Special Offers. From time to time, we may make special offers available for you to earn additional Reward/Tier Credits for Net Eligible Purchases ("Bonus Earnings"). The manner of earning Bonus Earnings and the amount of Bonus Earnings that can be earned will vary by special offer. Read each Bonus Earning offer carefully, as there may be important conditions or limitations, such as blackout periods, limits, deadlines, restrictions and exclusions. You may have to pre-register before using your Credit Card to qualify for Bonus Earnings. We may change or withdraw a Bonus Earning offer at any time without notice; however, any such change or withdrawal will not affect Bonus Earnings already earned (except in the case of cancellations for fraud or abuse). Your Net Eligible Purchase transaction must be charged to your Credit Card Account during the Bonus Earning offer period in order for you to earn the applicable Bonus Earnings. For mail order, special order, online and other purchases, please be aware that the Merchant may not charge your Credit Card Account until items purchased have shipped, which may occur after the expiration of the Bonus Earning offer.
Please note that if you return a product purchased during a Bonus Earnings offer period, and as a result of your return you no longer meet the qualifications for the Bonus Earnings offer, you will forfeit any Bonus Earnings earned in connection with the offer, even if the Bonus Earnings have already posted to your Caesars Rewards account.
(d) Posting of Reward/Tier Credits Earned;Expiration; Forfeiture.Reward/Tier Credits earned from using your Credit Card will not appear on your Credit Card statement. We will post earned Reward/Tier Credits to your Caesars Rewards account within 2 billing cycles, and Reward Credits will be available for immediate redemption upon posting. At any time, we may review your Reward/Tier Credit balance and adjust your balance if certain purchases no longer qualify as Net Eligible Purchases or no longer qualify for a specific Earning Rate. If your Credit Card is cancelled, whether by you or by us, or if you no longer qualify to participate in the CR Visa Rewards Program for any other reason, Reward/Tier Credits not already posted into your Caesars Rewards account will be irrevocably forfeited. You may redeem any Reward Credits that have previously been posted to your Caesars Rewards account balance as long as your Caesars Rewards account remains in good standing and you have a Reward Credit balance.
To maintain your Reward Credit balance, you must earn at least one Reward Credit every six months. Otherwise, your entire Reward Credit balance will expire. The six-month period begins on the date on which the most recent Reward Credits were posted to your Caesars Rewards account. Tier Credit balance will reset to zero on January 1 of every Caesars Rewards program year. You can check your Tier/Reward Credit account balance and impending expiration date on your online account page at www.caesars.com/myrewards or by visiting any Caesars Rewards Center.
Except as otherwise provided by applicable law, you will forfeit all unused Reward/Tier Credits earned in the CR Visa Rewards Program if:
1. You file for bankruptcy;
2. Your participation in the CR Visa Rewards Program is terminated in accordance with these Terms;
3. Your Credit Card Account is closed for any reason; or
4. Your Caesars Rewards membership is terminated in accordance with the Caesars Rewards Program Rules.
You will also forfeit your Reward/Tier Credits as described below in Sections 9 and 11.
You will not receive any compensation for Reward/Tier Credits that expire or are forfeited.
Reward/Tier Credits may not be sold, purchased, brokered, bartered, transferred or altered in any way by you. Any attempted transaction of such sort will automatically be void. Anyone engaging in such transactions will be liable for damages to us, including, but not limited to consequential damages, third party damages, transaction costs, attorneys' fees and court costs. Any violation of these Terms will result in termination of your eligibility to participate in the CR Visa Rewards Program and may result in forfeiture of your Reward/Tier Credits. You may not combine Reward /Tier Credits with any other discount or credits, except as otherwise provided in an applicable offer or as allowed in the Caesars Rewards Program Rules. Reward/Tier Credits have no cash value. Redemption value may vary. Reward Credits may not be redeemed retroactively in connection with any prior purchases. Reward Credits may not be used as payment of any outstanding obligations to the Bank or its affiliates. Additional exclusions or limitations for use of Reward Credits are available in the Caesars Rewards Program Rules or on the Caesars Rewards website (www.caesars.com/myrewards).
5. Communications, CR Visa Rewards Program Activity and Customer Service. We may contact you about the CR Visa Rewards Program by mail, phone, e-mail or other methods permitted under applicable law. As needed, you agree to promptly update your contact information by calling 1-855-381-5715 (TDD/TTY 1-800-695-1788). We are not responsible communications lost or undelivered due to incorrect or changed address or other contact information. You may unsubscribe from marketing emails by clicking the "Manage Email Preferences" or "Unsubscribe" or similar link in the footer of any marketing email. Please note that even if you opt out of receiving marketing emails, we may still send you non-marketing emails relating to the CR Visa Rewards Program.
You can view Reward/Tier Credits earned for Credit Card purchases on your online Caesars Rewards account. If you do not have an online Caesars Rewards account, go to www.caesars.com/Program to create one. For customer service, call us at 1-855-381-5715 (TDD/TTY 1-800-695-1788).
6. Credits Disputes. If you believe you should have earned Reward/Tier Credits that have not been timely posted to your Caesars Rewards account, you may dispute your Reward/Tier Credit balance ("Credits Dispute") by calling 1-855-381-5715 (TDD/TTY 1-800-695-1788) or writing to Comenity Bank, PO Box 182782, Columbus, OH 43218-2782. We will use reasonable efforts to investigate your Credits Dispute if you notify us within 60 days of the posting date (or within 90 days of the purchase if Reward/Tier Credits were never posted). If you do not notify us within that period, you waive your right to make a Credits Dispute with respect to that purchase. We may require you to provide written confirmation of the dispute and the applicable purchase receipt and may decline to investigate further if you do not provide the requested confirmation or a valid receipt. Upon completion of the investigation, we will have no further responsibilities if you later reassert the same Credits Dispute. Please note that the dispute rights with respect to your Credit Card Account under the Credit Card Account Agreement do not apply to these Terms or to your rights and remedies under these Terms, which are solely as set forth in these Terms. Your sole and exclusive remedy, and our maximum liability to you, in the event you prevail in a Credits Dispute, is for us to credit the disputed Reward/Tier Credits to your Caesars Rewards account.
7. Limited Liability. Unless otherwise required by law or our other agreements with you, neither Caesars nor the Bank, nor any of our or its affiliates, officers, directors, employees, service providers, or agents (collectively, the "CR Visa Program Entities") will be liable to you, or anyone making a claim on your behalf, in connection with (a) any termination of, change in, or suspension of the CR Visa Rewards Program; (b) any claim relating to products purchased by redeeming Reward Credits obtained through the CR Visa Rewards Program; (c) any loss, damage, expense or inconvenience caused by any occurrence outside of our control; or (d) any taxes that you incur as a result of receiving or redeeming Reward/Tier Credits. Notwithstanding the foregoing, any liability that CR Visa Program Entity may have to you in connection with the CR Visa Rewards Program shall be limited to the redemption value of any Reward Credits you have earned in accordance with these Terms.
8. No Bank Warranties. The Bank does not: (a) endorse the Caesars Rewards Program, Reward Credits, Tier Credits or any products or services purchased using Reward Credits; (b) make any express or implied warranty regarding Reward Credits, Tier Credits or any products or services purchased using Reward Credits or Tier Credits; (c) guarantee the performance of any products or services purchased using Reward Credits; or (d) offer, operate or control the awarding of Reward Credits or Tier Credits offered through this CR Visa Rewards Program or through the Caesars Rewards Program.
9. Changes. Subject to any requirements or limitations of applicable law, we may at any time for any reason add to, change, limit, or terminate the CR Visa Rewards Program or these Terms. To the extent allowed by applicable law, (a) changes may apply retroactively, and may affect outstanding transactions and Reward/Tier Credits, and may result in you involuntarily forfeiting Reward Credits and Tier Credits you have earned, and (b) changes will not affect issued or redeemed Reward/Tier Credits except to the extent allowed by applicable law.
10. Taxes. You are solely liable for any applicable taxes arising out of the accrual or use of Reward/Tier Credits earned in connection with your participating in the CR Visa Rewards Program or the Caesars Rewards Program. Consult your tax advisor concerning such tax liability.
11. Cancelling Your Participation in the CR Visa Rewards Program. You may cancel your participation in the CR Visa Rewards Program at any time by calling us at 1-855-381-5715 (TDD/TTY 1-800-695-1788). If you cancel your participation in the CR Visa Rewards Program, or if your Caesars Rewards membership is terminated in accordance with the Caesars Rewards Program Rules, you will still be able to make purchases using your Credit Card; however, you will no longer earn Reward/Tier Credits from purchases made using your Credit Card.
12. Governing Law; Assignment. The CR Visa Rewards Program and these Terms are governed by federal law and, to the extent state law applies, the laws of the State of Nevada without any reference to its choice of law provisions. You may not assign your rights or obligations under these Terms to any other person or entity.
13. Agreement to Arbitrate; Waiver of Class Action. ANY PARTY MAY ELECT TO ARBITRATE ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS (INCLUDING DISPUTES ABOUT THE VALIDITY, SCOPE OR ENFORCEABILITY OF THIS AGREEMENT TO ARBITRATION), IN WHICH CASE SUCH CLAIM SHALL BE SETTLED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS OR REPRESENTATIVE ACTION. Arbitration may be elected by any party with respect to any such Claim, even if that party has already initiated a lawsuit with respect to a different Claim. We will not demand to arbitrate an individual Claim that you bring against us in small claims court or your state's equivalent court, if any. But if that Claim is transferred, removed or appealed to a different court, we then have the right to demand arbitration.
The arbitration will be conducted by the American Arbitration Association ("AAA"), JAMS, or any other company selected by mutual agreement of the parties (the "Administrator"), in accordance with the rules of the Administrator. Payment of all filing, administration and arbitrator fees will be governed by the Administrator's rules. If, however, you are able to demonstrate that the costs of arbitration will be cost-prohibitive for you as compared to the costs of litigation, we will pay as much of the filing, administration and arbitrator fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive for you. The arbitrator will not have the power to award punitive or exemplary damages, the right to which each party hereby waives. The arbitrator's decision must be with written explanation and remain confidential. For purposes of this Section 13, these Terms are governed by the Federal Arbitration Act, 9 U.S.C. sec. 1-16 (FAA).
Opt-Out Procedures: You may choose to opt-out of this Agreement to Arbitrate by sending a written notice within 30 days after the date you accept these Terms for the first time. You may send your opt-out notice by email to arbitrationoptout@caesars.com .Your opt-out notice must include your full name and clearly indicate your intent to opt-out of the arbitration provisions of the Caesars Rewards Visa Credit Card Rewards Program.
Prior to initiating any arbitration, the initiating party will give the other party at least 60 days' advanced written notice of its intent to file for arbitration. We will provide such notice by mail or e-mail using the contact information on file with us and you must provide such notice by mail to us at 1 Caesars Palace Drive, Las Vegas, NV 89109, Attn: Caesars Rewards Visa Credit Card Rewards Program Arbitration Demand.
Class Action Waiver: YOU AND WE AGREE THAT EACH OF US MAY BRING CLAIMS ARISING FROM OR RELATING TO THESE TERMS ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. "Claim," as used in these Terms means any claim, dispute or controversy that in any way arises from or relates to these Terms or the CR Visa Rewards Program.
14. Entire Agreement; Severability; Conflicts; No Waiver. These Terms contain the entire agreement between you and us regarding the CR Visa Rewards Program, and supersede any previous terms and conditions governing the CR Visa Rewards Program we may have provided to you. The CR Visa Rewards Program is not available where and to the extent prohibited by law. If any part of these Terms conflict with applicable law, that provision will be deemed severed from these Terms and the remainder of the Terms will remain in effect. We will not lose our rights under these Terms because we delay or do not enforce them. All waivers of any of these Terms by us must be in a writing executed by someone with authority to bind us.
